Effective Date: November 6, 2026 · Version 1.1
The Spotl Creator Guarantee
You own 100% of your video content, creative works, and brand client relationships. Spotl provides the software tools (portfolio, CRM pipeline, and informational invoices) to run your business. We never take a cut of your UGC client deals.
1. Acceptance of Terms
Welcome to Spotl ("we," "our," or "us"), accessible via spotl.co. By creating an account, accessing, or using any part of Spotl's website, software, or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the Service.
2. Description of the Service
Spotl is an operating platform engineered for User-Generated Content (UGC) creators and freelance digital creators. The Service includes:
- Public Creator Portfolios: Customizable showcase pages (e.g.,
spotl.co/u/[slug]) to present video reels, deliverables, rates, and social profiles to prospective brand clients. - Deals Pipeline (CRM): Tools to track incoming inquiries, pitch stages, negotiations, deliverables, and payment statuses.
- Informational Invoices: Tools to produce formatted invoice documents and shareable view links.
- Creator Analytics: Aggregate counts on portfolio page views, video engagements, and outbound link clicks.
3. Eligibility & Account Security
You must be at least 18 years old (or the legal age of majority in your jurisdiction) to use Spotl. By accessing our Service, you warrant that you have full legal capacity to enter into these Terms.
Spotl utilizes passwordless magic links and verified authentication. You are solely responsible for maintaining the confidentiality and security of access to your email account and device. You agree to notify us immediately at [email protected] if you discover any unauthorized use of your account.
4. Creator Content & Intellectual Property Ownership
You retain 100% full ownership, copyright, and intellectual property rights to all videos, images, logos, copy, testimonials, and materials that you upload or publish through Spotl ("Creator Content").
By uploading Creator Content, you grant Spotl a worldwide, non-exclusive, royalty-free license solely to host, store, cache, transcode, display, and transmit your content as technically required to provide, optimize, and display your public portfolio and deliver the Service.
You represent and warrant that:
- You own or hold all required intellectual property rights, licenses, and consents to display your Creator Content.
- Your Creator Content does not infringe upon or violate any third-party copyright, trademark, privacy, or publicity rights.
- Your content complies with all applicable FTC endorsement disclosure guidelines and advertising laws.
5. Acceptable Use Policy
You agree to use Spotl strictly for lawful and professional business purposes. You agree NOT to:
- Publish content that is unlawful, defamatory, fraudulent, threatening, obscene, sexually explicit, or promotes harassment or hate speech.
- Claim handles or slugs representing trademarks, public figures, or third-party brands that you do not legitimately own or represent (handle squatting).
- Engage in automated scraping, data extraction, or denial-of-service attacks against our platform or other creators.
- Attempt to bypass security measures, authentication systems, or rate limits.
- Use Spotl's contact forms to transmit spam, unsolicited commercial bulk messages, or phishing communications.
We reserve the right to remove any content or suspend any account that violates this Acceptable Use Policy without prior notice.
6. Third-Party Links, Embeds, & External Services
The Service enables creators to include hyperlinks, social media embeds, external store links, and brand references on their public portfolios.
Disclaimer of Liability for Third-Party Content: Spotl does not inspect, endorse, warrant, or monitor any third-party links, products, services, websites, or external content provided on creator pages. You acknowledge and agree that Spotl is not responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any external website, content, or transaction. You access third-party links entirely at your own risk.
7. Informational Invoices & Financial Disclaimers
Invoices generated on Spotl are strictly informational documents intended to present itemized project deliverables and your chosen independent payment instructions (e.g., bank transfer details, PayPal, Wise, or direct payment links).
Spotl is not a bank, money transmitter, escrow agent, or payment processor for creator client transactions. We do not hold, receive, transfer, or escrow funds paid by brands to creators. All commercial contracts, agreements, payments, deliverables, and payment collections are strictly between you and your brand clients.
Spotl has no role in debt collection or contract enforcement and disclaims all liability for any brand client disputes, unpaid invoices, late payments, chargebacks, or breach of contract between creators and brands.
8. Subscriptions, Trials, & Billing
Spotl offers a Free sandbox tier as well as paid subscription plans (including Starter and Pro tiers).
- Free Trial: Paid plans may include a 14-day free trial. If you do not cancel before the trial period concludes, your subscription will automatically convert into a paid recurring subscription.
- Billing & Processing: Payments are processed securely via third-party payment processors (including Stripe). By providing payment credentials, you authorize Spotl (via our payment processor) to charge the applicable subscription fees on a recurring monthly or annual basis.
- Cancellation: You may cancel your subscription at any time through your Account Settings or billing portal. Upon cancellation, your paid features will remain active until the end of your current paid billing period.
- Refunds: Except where required by applicable law, all subscription fees are non-refundable, and we do not provide prorated refunds for partial billing cycles.
9. Creator Referral Program
Spotl offers a creator affiliate referral program providing qualifying creators with a recurring 30% commission on subscription revenue generated from verified referred accounts.
Referral cookies are attributed for 30 days following an initial click, with last-touch attribution, and commissions are earned on a referred account's first paid conversion. Self-referrals, fraud, and automated referral spam are strictly prohibited and will result in forfeiture of accrued commissions and termination of the affiliate account. Payout terms, thresholds, and schedules are governed by our referral program guidelines.
As an affiliate you may not run paid search or paid social advertising (including Google Ads, Bing Ads, and Meta Ads) on Spotl brand terms ("Spotl", "spotl.co", or misspellings thereof) or on link-in-bio / creator portfolio category keywords where the ad's destination is your referral link. This protects our shared acquisition costs — bidding up these terms inflates advertising costs for the whole platform. Cookie stuffing, trademark poaching in domain names, and misleading claims about Spotl pricing or features are likewise prohibited and void all accrued commissions.
10. Platform Availability & Modifications
We continuously improve and refine Spotl. We reserve the right to modify, update, or discontinue features of the Service at any time. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of uninterrupted availability.
11. Indemnification (Holding Us Harmless)
You agree to defend, indemnify, and hold harmless Spotl, its owners, directors, officers, employees, contractors, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:
- Your Creator Content, including any claims that your content infringes or misappropriates any third-party copyright, trademark, patent, trade secret, privacy, publicity, or other proprietary rights.
- Your violation or breach of these Terms, our Acceptable Use Policy, or any applicable law or regulation.
- Any commercial deal, contract, transaction, deliverable, or dispute between you and any brand, sponsor, client, or third party.
- Your interaction with or use of any third-party links or services featured on your portfolio.
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.
12. DMCA Copyright Policy & Takedown Procedure
Spotl respects the intellectual property rights of others and complies with the safe harbor provisions of the Digital Millennium Copyright Act (17 U.S.C. § 512).
If you believe in good faith that any content hosted on our Service infringes your copyright, you or your designated agent may submit a written copyright takedown notice to our designated Copyright Agent at:

13. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Spotl, its officers, directors, employees, or suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goodwill, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service.
In no event shall Spotl's total cumulative liability to you for all claims arising out of or related to these Terms or the Service exceed the amount you actually paid to Spotl during the twelve (12) months immediately preceding the event giving rise to the liability, or $100 USD, whichever is greater.
14. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without giving effect to any principles of conflicts of law.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
